US Senate Updates Crypto Market Structure Bill: Clarifying Tokenized Asset Regulation

The United States Senate made a significant update in its cryptocurrency market structure bill last Friday. A primary feature added sought to clarify the regulation of tokenized assets. The new provision guarantees that stocks and other such securities maintain their categorization as securities even when tokenized on a blockchain. This update would prevent potential misunderstanding as to whether these should be considered under commodities regulation. Making a clear distinction between securities and commodities is crucial for firms dealing with digital assets and working on tokenization. It is essential to note that stocks are already regulated as securities. Their tokenization, therefore, and subsequent maintenance as securities ensures their compatibility with broker-dealer frameworks, trading platforms, and clearing systems.

Pushing the Bill to the Presidential Desk

Lead sponsor of the legislation, Wyoming Senator Cynthia Lummis, expressed an intent to have this bill on the president’s desk soon. Speaking during an interview with CNBC, she pronounced the goal of accomplishing this by the end of the year. The senator’s proposed bill, the Responsible Financial Innovation Act of 2025, explains when digital assets should be subjected to the oversight of the Securities and Exchange Commission versus the Commodity Futures Trading Commission. Lummis anticipates the Senate Banking Committee voting this month on the provisions of the SEC, followed by a vote in October by the Agriculture Committee on CFTC oversight. Potentially, a full Senate vote could occur as soon as November.

Securing Cross-Party Support

While the draft of the bill has not yet won backing from Democrats, Lummis mentioned that bipartisan discussions are underway. She expressed hope that partnering Democrats and Republicans on certain aspects within the bill would build momentum across the parties. Last month, a group consisting of 112 crypto companies, advocacy organizations, and investors, made a plea to the US Senate to include protections for non-custodial service providers and software developers in the forthcoming crypto market structure legislation. Via a letter to the Senate Banking and Agriculture Committees, the coalition warned that the current outdated financial rules risk misclassifying these parties as intermediaries.

Influence of Major Players

Some significant players, including Coinbase, a16z, Ripple, Uniswap Labs, and Kraken joined in support of the appeal. They contended that existing regulatory uncertainty is already driving off developers. References were made to data from Electric Capital, which observed that the share of open-source blockchain developers in the US declined from 25% in 2021 to 18% in 2025. This is an alarming trend that highlights the importance of clear and modern regulatory frameworks within this fast-growing field.

Conclusion

As the world’s economy embraces digital finance and blockchain technologies, it is vital that legislation keeps pace to adequately support and regulate this emerging industry. The recent amendment to the crypto market structure bill by the US Senate is a crucial step towards a clear and practical regulatory landscape for tokenized assets. Ensuring concise guidelines and security for digital transactions will encourage further innovation and the robust growth of the industry as a whole.
